1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of Ventano, including dashboards, session tracking, goals, scheduling, financial tools, marketing tools, team sharing, exports, forecasts, reports, AI-assisted features, subscriptions, and related websites or services (the "Service"). By creating an account, using guest mode, accepting a team invitation, accessing a shared dashboard, or purchasing a subscription, you agree to these Terms.

If you do not agree, do not use the Service. If you use Ventano for a business or organization, you confirm that you are authorized to accept these Terms for that business or organization.

2. What Ventano Provides

Ventano helps users organize business activity, track sessions, estimate revenue and costs, manage goals, schedule work, create marketing plans, forecast performance, collaborate with teammates, and receive AI-assisted suggestions. The Service is a productivity and planning tool. It is not accounting, tax, legal, investment, financial, employment, or other professional advice.

You are responsible for reviewing the information and outputs generated in the Service before relying on them for business decisions.

3. Accounts and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information, keep your account information current, and notify us if you believe your account has been accessed without permission.

Guest mode is intended for temporary exploration. Guest data may be stored in browser storage and may reset when the browser session ends, storage is cleared, or you switch to a real account.

4. Subscriptions and Billing

Some features may require a paid subscription. Prices, plan limits, renewal timing, and included features are shown at checkout or inside the Service. Paid subscriptions renew automatically unless canceled before the next billing date.

Payments and subscription management may be handled by Stripe or another payment processor. Ventano does not store your full card number. You are responsible for maintaining accurate billing information. Billing disputes, refunds, cancellations, and subscription changes may be handled through the subscription management link provided in the Service or by contacting support.

Unless required by law or expressly stated otherwise, fees already paid are non-refundable. If a subscription is canceled, access to paid features may continue until the end of the paid billing period.

5. User Content and Data

You retain ownership of information you enter into Ventano, including dashboard names, sessions, revenue and cost entries, payment method labels, goals, calendar events, notes, prompts, files or exports you create, team settings, and business details ("User Content"). You grant Ventano a limited license to host, process, display, transmit, back up, secure, and use User Content as needed to operate, maintain, improve, support, and provide the Service.

You are responsible for the accuracy, legality, and appropriateness of the information you enter. Do not upload or enter content that violates laws, infringes rights, contains malicious code, or includes sensitive information that is not needed for your use of the Service.

6. Teams and Shared Dashboards

Team owners may invite members, choose which dashboards are shared, and set access levels such as view-only or edit access. Members may see or update shared dashboard content depending on the permissions selected by the owner.

You are responsible for the team invitations you send, the dashboards you share, and the permissions you grant. If you leave a team or remove a member, some prior activity, audit data, or shared content may remain in the owner's account or system records as needed to operate the Service.

7. AI Features

Ventano may provide AI-generated suggestions, summaries, plans, reports, forecasts, analysis, or other outputs. AI outputs can be incomplete, inaccurate, outdated, or unsuitable for your situation. You are responsible for reviewing and deciding whether to use any AI output. Do not rely on AI output as professional advice.

You should not submit highly sensitive personal information, regulated data, or confidential third-party information to AI features unless you have the right to do so and it is necessary for your use of the Service.

8. Acceptable Use

You agree not to misuse the Service, attempt to access systems without permission, interfere with security features, scrape or copy the Service at scale, reverse engineer the Service except as allowed by law, use the Service to violate laws or third-party rights, or submit harmful code, abusive content, or fraudulent information.

9. Exports, Reports, and Business Records

Ventano may allow you to export data or receive reports. You are responsible for reviewing exports and reports for accuracy and for keeping any records required for tax, accounting, employment, or legal purposes outside of Ventano.

10. Availability and Changes

We may update, improve, suspend, limit, or discontinue parts of the Service at any time. We try to keep Ventano reliable, but we do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times.

11. Intellectual Property

Ventano™, including its design, software, branding, features, and content provided by Ventano, is owned by Ventano or its licensors and is protected by intellectual property laws. These Terms do not transfer ownership of Ventano intellectual property to you.

Ventano™ is used as a trademark for the Service. You may not use the Ventano name, logo, branding, or confusingly similar marks in a way that suggests endorsement, affiliation, or ownership without written permission. The ™ notice does not mean the mark is federally registered.

12. Third-Party Services

The Service may rely on third-party services for hosting, databases, authentication, payment processing, email, AI infrastructure, analytics, logging, and similar operations. Your use of those third-party services may also be subject to their terms and policies.

13. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Ventano disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

14. Limitation of Liability

To the fullest extent permitted by law, Ventano will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, loss of goodwill, or inaccurate business decisions arising from or related to your use of the Service.

15. Indemnification

To the extent permitted by law, you agree to defend and hold Ventano harmless from claims, damages, liabilities, costs, and expenses arising from your misuse of the Service, violation of these Terms, violation of law, or infringement of third-party rights.

16. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create risk for Ventano or other users, fail to pay required fees, or use the Service unlawfully. After termination, some information may remain in backups, logs, billing records, or shared team records as described in the Privacy Policy.

17. Governing Law

These Terms are governed by the laws of California and the United States, without regard to conflict-of-law rules, except where your local law requires otherwise.

18. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify users, such as updating the effective date or providing notice in the Service. Continued use after changes means you accept the updated Terms.

We may also collect information you enter into the Service, including dashboard data, sessions, revenue, costs, payment method labels, goals, calendar events, notes, marketing inputs, forecasts, reports, AI prompts, AI outputs, preferences, and settings.

When you subscribe, payment details are processed by Stripe or another payment processor. We may receive subscription status, customer identifiers, plan details, billing status, and limited payment metadata, but we do not store your full payment card number.

3. Automatically Collected Information

We may collect technical information such as device type, browser type, IP address, approximate location derived from IP address, pages or features used, timestamps, error logs, performance data, security events, session identifiers, and general usage activity.

4. Cookies and Browser Storage

We use cookies, local storage, session storage, and similar technologies that are necessary for the Service to work, including keeping you signed in, saving preferences, remembering dashboard state, supporting security, and maintaining subscriptions or account sessions.

Guest mode may store temporary data in your browser. Clearing browser storage, using private browsing, switching devices, or ending a browser session may delete guest data.

We do not currently use advertising cookies or cross-site advertising trackers. If we add analytics, advertising, or similar tracking technologies in the future, we may update this policy and provide additional notices or choices where required by law.

5. How We Use Information

We use information to provide and maintain Ventano, authenticate users, save and sync account data, process subscriptions, operate teams and shared dashboards, generate exports, reports, forecasts, and AI-assisted features, personalize the dashboard, troubleshoot bugs, improve performance, prevent abuse, enforce our Terms, communicate with users, and comply with legal obligations.

6. AI and User Inputs

When you use AI features, the information you submit may be processed by Ventano and AI infrastructure providers to generate responses, summaries, plans, forecasts, market reports, weekly reports, marketing ideas, or other outputs. AI outputs may be stored with your account so the Service can display history, reports, and dashboard insights.

Avoid entering sensitive personal information, regulated information, or confidential third-party information unless you have the right to do so and it is necessary for your use of the feature.

7. How We Share Information

We may share information with service providers that help us operate Ventano, including hosting providers, database providers, analytics or logging providers, authentication providers, payment processors, email providers, and AI infrastructure providers. These providers are allowed to use information only as needed to provide services to Ventano.

If you use team features, team owners and members may see dashboard data, member information, shared dashboard names, content, and changes according to the permissions set by the team owner. If you accept an invitation, your account name, email, role, and status may be visible to that team.

We may also share information if required by law, to protect rights and safety, to investigate fraud or abuse, in connection with a merger, acquisition, financing, reorganization, or other business transfer, or with your consent.

8. Data Retention

We keep information for as long as needed to provide the Service, maintain business records, resolve disputes, enforce agreements, comply with law, and protect the Service. Some information may remain in backups, logs, payment records, email records, or shared team records for a limited period after deletion.

9. Your Choices

You may update certain account information and dashboard content inside the Service. You may manage subscriptions through the subscription portal, leave teams, remove invited members if you are an owner, delete or edit dashboards, and control some browser storage through your browser settings. Disabling storage may affect functionality.

You may request access, correction, deletion, or export of personal information by contacting us through the Contact or Help page. Depending on your location, you may also have rights to object to or restrict processing, request portability, or withdraw consent where consent is used.

10. Security

We use reasonable administrative, technical, and organizational safeguards designed to protect information. No online service can guarantee complete security, and you are responsible for keeping your account credentials secure.

11. Children

Ventano is not intended for children under 13. We do not knowingly collect personal information from children under 13. If you believe a child has provided personal information, contact us so we can take appropriate steps. If local law requires a higher minimum age for online services, you must meet that age requirement to use Ventano.

12. International Use

If you use Ventano from outside the United States, your information may be processed in the United States or other countries where our service providers operate. Data protection laws may differ from those in your location.

13. California and Other Privacy Rights

Depending on where you live, you may have privacy rights under laws such as the California Consumer Privacy Act or similar state, national, or regional laws. These rights may include requesting to know, access, correct, delete, or receive a copy of certain personal information. Ventano does not sell personal information for money and does not currently share personal information for cross-context behavioral advertising.
